Refund & Cancellation Policy

How cancellations, refunds, subscriptions, engagement payments and one-off charges work.

1. Scope

This Policy explains cancellations and refunds for everything you can pay for on marketplace.catalystbox.in, operated by CATALYSTBOX (OPC) PRIVATE LIMITED (CIN U62011UP2026OPC244687, GSTIN 09AANCC5886G1Z1), registered office P-10, K-376, Chinhat, Ganeshpur Rahmanpur, Lucknow, Uttar Pradesh — 226028.

It forms part of our Terms of Use. All amounts are in Indian Rupees.

There are four things you can pay for, and they work differently:

Where you have signed a negotiated order form (Institution+, Funder Licence, Enterprise), the refund terms in that document prevail over this Policy for that agreement.

2. Plan purchases

2.1 Recurring billing and annual plans

Only a plan expressly labelled as a recurring subscription at checkout renews automatically. It renews at the disclosed monthly or annual interval until you cancel.

Annual plans provide 12 months of access. Renewal requires a new payment or invoice unless a recurring payment mandate was established during checkout. A negotiated annual plan may instead renew through an accepted invoice or signed order form.

Before each recurring debit you will receive a pre-debit notification at least 24 hours in advance, stating the amount and date, with the option to cancel. If no recurring mandate was established, there is no automatic renewal debit.

Where the renewal amount exceeds the Reserve Bank of India threshold for standing instructions, you will be asked to authenticate the debit. Higher-value plans may be billed by invoice instead.

2.2 Cancelling

For a recurring plan, cancel any time from Account → Settings → Manage subscription, or by writing to hello@catalystbox.in with your registered email and organisation name.

  • Cancellation stops the next renewal.
  • You keep access until the end of the period you have already paid for.
  • At expiry, your account moves to the free tier for your role. Features, quotas, seats, and stored history above free-tier limits become unavailable. Export what you need before your plan ends.
  • An annual plan without a recurring mandate needs no cancellation to prevent another charge; it expires automatically after its 12-month access period.

2.3 Refunds on subscriptions

2.4 Upgrades, seats, and API

  • Upgrades take effect immediately. You pay the difference for the remainder of the current period, calculated pro-rata.
  • Adding seats mid-period is charged pro-rata for the remainder of the period.
  • Removing seats mid-period does not generate a refund; the reduction applies from the next period.
  • Withdrawal of API access for breach of the API terms does not generate a refund.

2.5 Free trials

CatalystBox does not currently offer a free trial. If a plan later offers one, the trial length and conversion method will be shown at signup. A trial converts automatically only where checkout expressly identifies a recurring subscription and you register the required mandate. We will remind you before conversion. Cancel during the trial and you pay nothing.

A trial without a recurring mandate converts only through a new checkout, accepted invoice, or signed order form. We do not auto-convert a trial into a charge unless you expressly established a recurring mandate for that conversion.

2.6 Free plans

Free tiers carry no charge and nothing to refund. You may stop using them any time.

3. Engagement payments held pending delivery

Current status: CatalystBox does not currently offer engagement funding, escrow, provider settlement, or payment KYC. Institutions and providers arrange engagement payments directly. This section applies only if a future Platform checkout expressly offers an activated payment-partner escrow workflow and both parties accept its terms.

3.1 How the money moves

CatalystBox does not hold your money at any point. Payments are collected and held by Razorpay Software Private Limited, a payment aggregator authorised by the Reserve Bank of India, in its designated escrow account with a scheduled commercial bank. Release instructions are given through the Platform; the release itself is executed by the payment aggregator.

3.2 Release to the provider

Funds are released to the provider when the institution confirms that the agreed work has been delivered.

If the institution neither confirms nor raises a dispute within 14 days of the provider marking the engagement complete and submitting the required evidence, delivery is deemed confirmed and the funds are released. This exists so money is not held indefinitely.

A provider must have completed payment onboarding to receive a settlement. Where a provider has not, the release will be held until it does. If onboarding is not completed within 30 days of a release becoming due, the institution may request a full refund instead.

3.3 Cancelling before work starts

3.4 Cancelling after work starts

Where work has partly been delivered, the parties should agree the value delivered. On a joint instruction, we will instruct the payment aggregator to release the agreed portion to the provider and refund the balance to the institution. Where the parties cannot agree, section 3.5 applies.

3.5 Disputes about delivery

  1. Raise the dispute through the Platform within 14 days of the provider marking the engagement complete.
  2. We will pause the release while the dispute is open.
  3. Both parties will be asked for their account and any evidence — delivery records, communications, verification outputs.
  4. We will facilitate a resolution and, once the parties reach one, instruct the payment aggregator accordingly.
  5. If the parties cannot agree, the funds will be dealt with under the terms of the contract between them, and the dispute is theirs to resolve. CatalystBox does not adjudicate the underlying commercial contract and is not an arbitrator between the parties.

3.6 Replacement instead of refund

Some engagements carry a replacement arrangement — where an engagement fails, the provider or a substitute delivers again. Where a replacement applies and is recorded on the Platform for that engagement, whether any further fee is payable is as recorded there. A replacement is an alternative to a refund, not an addition to it.

4. One-off charges

The current B2C qualified-introduction price is ₹499 plus ₹89.82 GST (₹588.82 total). The charge is created server-side and becomes earned only when the provider response and provider identity are delivered to the teacher. A retry for an already delivered introduction does not create a second charge. If payment is captured but delivery does not complete, or if a duplicate debit occurs, the full ₹588.82 including GST is refundable.

5. Provider take rates and success fees

A take rate or success fee is deducted at settlement by the payment aggregator when an engagement originating on the Platform is paid.

  • Where an engagement is cancelled and refunded in full, the take rate is reversed in full.
  • Where an engagement is partly refunded, the take rate is adjusted pro-rata.
  • Where an engagement is completed and paid, the take rate is not refundable.
  • A take rate is never charged to an institution, teacher, or candidate.

6. Refunds we will always make

Regardless of anything above, we refund in full where:

  • You were charged twice for the same thing.
  • You were charged after a valid cancellation.
  • A payment was deducted but the service was never activated.
  • A charge was made in error by us.
  • A transaction is established as unauthorised.

7. How to request a refund

Write to hello@catalystbox.in with:

  1. Your registered email and organisation name
  2. The transaction or order reference, or the invoice number
  3. The date and amount
  4. What you are asking for and why

We will acknowledge within 48 hours.

Refunds go back to the original payment method. We cannot refund to a different account or instrument. Where the original method is closed or unavailable, contact us and we will agree an alternative subject to verification.

Once a refund is initiated, the time it takes to reach you is controlled by your bank or card issuer, not by us or by the payment aggregator.

9. Taxes on refunds

Where GST was charged, the refund includes the GST component and a credit note is issued. Where you have already claimed input tax credit, you are responsible for reversing it as required.

10. Chargebacks

If you believe a charge is wrong, please contact us first — it is faster than a chargeback. If you raise a chargeback, we will supply the payment aggregator with our transaction records. We may suspend an account with an unresolved chargeback until it is settled.

11. Grievances

If you are unhappy with a refund decision:

We acknowledge within 48 hours and aim to resolve within one month, in line with the Consumer Protection (E-Commerce) Rules, 2020. Nothing in this Policy limits any right you have under the Consumer Protection Act, 2019.
